User Usage Agreement

XPIN eSIM Products and Services ("Services") are provided by XPIN Network. These Terms and Conditions ("Terms") contain important information regarding our Services and the equipment used in conjunction with them. This includes detailed information about the service plans we offer, service fees, charges, taxes, and other fees applicable to you, termination of services, acceptable use of services, discovery mapping and rewards, privacy, limitation of liability, and our agreement to arbitrate disputes, rather than pursuing class action lawsuits or other forms of trial.These Terms are part of the Service Agreement between you and XPIN Network and govern the provision of the Services to you. By agreeing to this Service Agreement, you affirm that you are of legal age in your place of residence and are authorized to enter into a legally binding agreement. You agree that if you provide your XPIN Network account login information to another person or permit another person to use the Services, you will be responsible for all activities conducted through the Services, whether by you or by someone else. By providing your written consent or electronic signature, you accept the Service Agreement. XPIN Network reserves the right to modify its pricing, fees, Services (including any rewards), and/or Terms at any time. Your continued use of the Services after receiving notice of any changes will be considered acknowledgment and acceptance of such changes, and the most current version of these Terms will govern your relationship with XPIN Network and the Services provided by XPIN Network.Your service agreement with us includes these Terms and Conditions, our Privacy Policy, our Acceptable Use Policy, and any other agreements, policies, or Supplemental Terms and Conditions provided by us at https://www.xpin.network or through the XPIN mobile application ("XPIN Planet mobile application"). We may change our policies and these terms at our sole discretion at any time. Please refer to our website for the most current version of our policies.
XPIN eSIM Service
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to be accountable for all activities that occur under your account or password. The use of the service is intended solely for individuals of legal adult age who can make purchases with a credit card or other permitted payment methods. If you are under 18 years of age, you are not permitted to use the service.Upon purchasing and activating any XPIN eSIM plan, you will be able to utilize the service. You agree to pay the fees promptly at the commencement of each billing cycle for the service you receive, until the service expires and the agreement is terminated. You will be responsible for all applicable fees, charges, and taxes for the service you use, whether ordered by you or someone with access to your service.Any plan or service you purchase must be activated within 30 days from the date of purchase. We may suspend or terminate any plan or service that is not activated within this timeframe.We may suspend or terminate your account in accordance with these terms. If we do not receive a renewal payment due to insufficient funds or any other reason, the service will be terminated upon expiry. Subsequently, your account may be suspended until you have paid all outstanding fees, charges, and taxes. XPIN Network will not terminate your account, and you may restart your service at any time by making the necessary payments.
Billing Cycles
The billing cycles for XPIN Network plans are provided to you at the time of purchase. Your initial billing cycle will begin on the day you create your account (the "Anniversary Date") and will last for one month, regardless of eSIM activation status or usage. Subsequent billing cycles will be calculated based on the designated start date following eSIM activation.
Service Fee Payments
Upon purchasing the XPIN eSIM service, you will be responsible for paying XPIN for all fees, charges, and taxes associated with your use of the service through your designated payment method until your service agreement is canceled. Your first payment date will be your account's Anniversary Date. You can view your bill through the XPIN Planet mobile application. You have the right to change your payment method at any time; all payment methods supported by XPIN Network are displayed within the XPIN Planet app. XPIN reserves the right to update these payment methods without further notice. Please be aware that XPIN does not make any continuous deductions from your payment method. You may use XPIN's proprietary $XP tokens to offset a portion of the XPIN eSIM service fees. To acquire $XP tokens, you will need to use XPIN's mobile application: XPIN Planet. You can log in to XPIN Planet to check the amount of $XP tokens available to you and the extent to which they can be applied to offset fees. You agree that XPIN Network has the right to update the policy regarding the use of $XP tokens at any time without your consent. Should you cancel the XPIN eSIM service, any $XP tokens spent will not be refunded. XPIN Network does not guarantee any form or amount of $XP tokens earned. The acquisition of $XP rewards is not guaranteed and may vary due to multiple factors, including but not limited to individual activities, network usage, application settings, technical and/or operational issues, and network governance. $XP rewards are subject to the constraints and functionalities designed by XPIN Network and may change without notice. $XP and any other XPIN Network points and tokens may have no value, and XPIN Network makes no promises, guarantees, or warranties regarding the value of $XP tokens.
Usage
The services provided by XPIN include data plans as the primary component of your service; the XPIN eSIM does not provide telephone numbers or voice and messaging services. Your data plan is intended solely for personal use in the countries and territories listed by XPIN. Data usage within our network is measured in bytes without rounding. Each XPIN service plan has a specified limit for 5G and/or 4G LTE data usage. Please note that access to 5G and/or 4G LTE through your service plan requires the use of compatible devices and an eSIM card within the appropriate coverage area. We will measure your data usage for both uploads and downloads, including all requests to upload or download data, as well as network overhead. If your total accumulated data usage during the billing cycle exceeds the monthly usage limit of the plan you purchased, your service will be terminated, even if there is remaining time in your billing cycle. Service will be restored when you purchase a new service plan.
Use of Service
The mobile network provided by XPIN Network for the service is a shared resource that benefits all users. Certain activities and uses of the XPIN Network service by individual customers or a small group of customers may negatively impact others' ability to use and enjoy the service. Therefore, certain activities and services are not allowed and are outlined in the XPIN Network Acceptable Use Policy.
Network Protective Measures
To minimize capacity issues and ensure reliable, high-quality service for our customers, we and our network providers may take measures to protect our network. We may use automated systems to analyze network traffic to detect and prevent illegal, fraudulent use, or activities that do not comply with our Acceptable Use Policy. Based on our analysis, we may take appropriate actions, including but not limited to temporarily reducing data speeds, deprioritizing traffic, suspending, or terminating data sessions of users who use excessive amounts of data or engage in heavy, continuous usage that adversely affects network performance and degrades the quality of service for other customers. We and our network providers apply various network management techniques and practices to allocate network capacity among users and devices to ensure the best possible experience for all users.
International Services
XPIN Network supports the use of network services in the countries and territories listed in the XPIN eSIM plan. However, not all devices may be compatible, and not all services, features, and content may be available. You are responsible for ensuring that your device can operate legally in your target country or region, and your use will be subject to any local terms and conditions, including the terms of use. Be aware that the services you use in any country or region are governed by the laws, regulations, and customs of the country or region where the service is provided. The availability, coverage quality, and service of XPIN Network's international data services may vary depending on the international business provider. If you encounter any difficulties with usage, you can provide feedback to XPIN Network. The cost of multi-country data services is included in your plan, and XPIN Network will not charge you twice for the areas and data volume already included in your data plan. However, XPIN reserves the right to update rates at any time, which does not affect the plans and services you have already purchased. When you renew, you are responsible for reviewing these terms and the most current rates and terms and conditions.
Plan Cancellation and Refund Policy
Before purchasing, please verify whether your device supports XPIN's eSIM services and confirm if your country or region is included in XPIN's service coverage. Due to the nature of the eSIM service, we cannot cancel your plan or issue a refund once purchased. XPIN does not operate on a subscription basis; continuous charges are not applied. If you no longer require XPIN's eSIM services, you only need to cease purchasing data plans from XPIN.
Lost or Stolen Devices
In the event that your device is lost or stolen, please contact XPIN customer support through the after-sales service section in the XPIN mobile application and notify us immediately. Our customer support team operates during normal working hours and will suspend your service within three working days to prevent unauthorized use. We reserve the right to hold you accountable for all usage fees, taxes, and charges incurred by your device until you notify us of the loss or theft and we can terminate your service. Failure to report the loss or theft in a timely manner may result in your liability for any fees or charges incurred before the incident is reported. Once you have reported the loss or theft and your service is suspended, you will not be responsible for any subsequent charges incurred by the device.

Network Coverage Supplemental Information:The coverage area provided by XPIN is approximate and based on expected wireless coverage under outdoor and optimal conditions. Actual coverage range, speed, service area, and service quality may vary due to factors such as signal strength, network capacity, congestion, limitations of hardware and software, terrain, weather, and other factors beyond our control. Service interruptions may occur, and the quality and speed of the service may differ from expectations.We do not guarantee or warrant that the service will be available at any specific time or location, nor do we guarantee that the service will be uninterrupted or provided at a particular quality level. You agree not to hold us liable for any issues related to service availability or quality, including but not limited to any failures in emergency calls.
Promotions
XPIN Network may, at its sole discretion and for any reason, offer promotional activities to certain customer groups from time to time. These promotions may include, but are not limited to, point deductions, discounts, or "free" services. For clarity, all such promotions are subject to the terms and conditions outlined in these Terms, including any promotional terms published by XPIN Network from time to time. Any promotion offered, if available, is entirely at the discretion of XPIN Network and may be modified or terminated at any time without notice. To the extent permitted by applicable law, promotional credits, discounts, or "free" services are non-transferable, cannot be combined with any other offer, and are not redeemable for cash or points.
Our Right to Make Changes
This provision is subject to the requirements and limitations imposed by applicable law and will not be enforced to the extent prohibited by law. Your Service is also subject to our business policies, practices, and procedures, which may change without notice. We reserve the right to modify these Terms and Conditions, our Services, discounts, technologies (including changes that may affect your device's compatibility), coverage, or any other terms in the Service Agreement at any time. You agree to be bound by these changes or modifications when we (i) post them on the XPIN Network website or XPIN mobile application, or (ii) send them to you (electronically or otherwise). As these Terms and Conditions are subject to change, you should regularly check the XPIN Network website and application for the most current version. Changes to service fees or material changes to the Service Agreement will not affect Services already purchased. If you disagree with any changes made by XPIN Network, you have the right to discontinue purchasing products and services from XPIN Network.
Unauthorized Charges
When allowing others, including children or minors, to use a device associated with your account, exercise caution. You are responsible for all fees, charges, and taxes incurred, including those from any other user of a device linked to your account.
Our Rights to Limit or Terminate Service or the Service Agreement
XPIN Network may, without notice and for any reason, limit, throttle, suspend, or terminate your Service or any agreement with you. This may occur if you:
Breach the Service Agreement;
Resell your Service;
Use the Service for illegal or fraudulent purposes, or violate acceptable use requirements;
Fail to pay any fees as specified in the Service Agreement;
Become bankrupt;
Transfer the Service to another person without our consent;
Use the Service excessively or in a manner that is unusually burdensome or unprofitable to us;
Engage in activities that negatively affect XPIN Network or other customers or violate the Terms or XPIN Network's Acceptable Use Policy;
Or if you or any user of your device or service line:
Threaten, harass, or use vulgar or inappropriate language towards XPIN Network representatives;
Interfere with XPIN Network operations,
Engage in "spamming" or other abusive messaging or calling;
Use a device in violation of local laws and regulations.
XPIN Network may also temporarily limit your Service for operational or governmental reasons. If XPIN Network terminates your XPIN eSIM Service for any reason, including those specified above, we reserve the right to prevent you from using any XPIN Network Service plan in the future. This may include blocking your device from our network, prohibiting you from purchasing a new XPIN Network Service account, or other measures.
Intellectual Property
XPIN Network's intellectual property and related documentation are protected by trademark, copyright, and other intellectual property laws, as well as international treaty provisions. You agree not to infringe upon, misappropriate, dilute, or otherwise violate the intellectual property rights of XPIN Network or any other intellectual property owner whose protected property may appear on any website controlled by or accessed through XPIN Network’s websites. Except for a limited license to use the Service, your purchase does not grant you any rights to copy, modify, reverse engineer, download, redistribute, or resell XPIN Network’s or others’ intellectual property related to the Service and XPIN Network. All XPIN Network websites, corporate names, service marks, trademarks, trade names, logos, and domain names (collectively, the "Marks") and those of its affiliates are and shall remain the exclusive property of XPIN Network and its affiliates. Nothing in these Terms grants you the right or license to use any of the Marks. You agree that any violation of this section will cause harm to XPIN Network that cannot be fully compensated by monetary damages, and that XPIN Network is entitled to seek immediate injunctive relief in addition to all other available remedies. From time to time, you may choose to submit feedback to us. In connection with the Services, we may freely use, copy, disclose, license, distribute, and exploit any feedback in any manner without obligation, royalty, or restriction based on intellectual property rights or otherwise. No feedback will be considered your confidential information, and nothing in this Agreement limits our right to independently use, develop, evaluate, or market products or services, whether incorporating feedback or otherwise. In the event that XPIN Network terminates your XPIN Network Service for any reason specified in this section, we reserve the right to prohibit you from using any XPIN Network Service plan in the future by blocking your device from our network, prohibiting you from using a new XPIN Network Service account that you purchase, or by other means.
Privacy and Security
As described in the XPIN Network Privacy Policy, XPIN Network and its partners may collect technical and service information from you during the provision of services or from your device. Such information may include service plan and feature information, application download and usage information, device or equipment information, network traffic or performance information, service usage information, diagnostic data (including device performance, signal strength, dropped calls, data failures, or battery strength information), and location information. XPIN Network may use such technical and service information to provide mobile voice and data services and to improve the quality of the network experience and your mobile experience. Devices may contain sensitive personal information. XPIN Network is not responsible for any information stored on a device, including sensitive or personal information. XPIN Network recommends that you safeguard any sensitive or personal information when the device is out of your possession or control. If you suspect that your XPIN Network account or any of your security details have been compromised, or if you become aware of any fraud or attempted fraud or any other security incident (including a cybersecurity attack) affecting you and/or XPIN Network (collectively a "Security Breach"), you must immediately notify XPIN Network Customer Support through the XPIN Network website or mobile application and provide accurate and up-to-date information throughout the duration of the Security Breach. You must take any steps that we reasonably require to reduce or manage any Security Breach. Prompt reporting of a Security Breach does not guarantee that XPIN Network will reimburse you for any losses suffered or be liable to you for any losses suffered as a result of the Security Breach. We shall not bear any liability, whatsoever, for any damage or interruptions caused by any computer viruses or other malicious code that may affect your computer or other equipment, or any phishing, spoofing, or other attacks. We advise the regular use of reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks and should exercise care in reviewing messages purporting to originate from XPIN Network. Always log into your XPIN Network account(s) through the XPIN Network website or application to review any transactions or required actions if you have any uncertainty regarding the authenticity of any communication or notice.
Disclaimer of Warranties
Except for any written warranties that may be provided with devices you purchase from XPIN Network, and to the extent permitted by law, XPIN Network makes no representations or warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose. You should use your service, device, or any applications accessed through your device with caution.XPIN Network does not warrant that your device or service will operate flawlessly or be free from interruptions or viruses. XPIN Network does not guarantee that your device will not require occasional upgrades or modifications, nor does it guarantee that it will not be adversely affected by network-related modifications, upgrades, or similar activities. XPIN Network also does not warrant that your communications will be private or secure. While it is illegal for unauthorized individuals to intercept your communications, such interceptions can occur, and XPIN Network assumes no liability for any such occurrences.
Limitation of Liability and Disclaimer of Warranties
You agree that:
XPIN Network is not an insurer of services, nor can it ensure the accuracy of your information or the privacy or security of your XPIN Network accounts.
XPIN Network has no control over the actions and conduct of third parties.
XPIN Network is not responsible for losses incurred as a result of your or a third party's use of your XPIN Network wireless number as a source of authentication or verification in connection with any social media, email, financial, cryptocurrency, or other accounts.
Except in cases of fraud or willful misconduct, and to the greatest extent permitted by law, XPIN Network is not liable for losses related to the services it may offer under these terms and conditions. Without limiting the generality of the foregoing, you agree that XPIN Network and its network provider are not liable for losses relating to your inability to reach 911 or access any other emergency services; your use of, or inability to use, the services under these terms and conditions (including, without limitation, any services offered in connection with any third-party hardware, software, or service, even if such third-party hardware, software, or service is offered by XPIN Network); and/or any interruption, error, limitation, or delay in any services. You also agree that XPIN Network is not liable for missed or deleted voicemails or other messages, or for any information (such as pictures) that is lost or deleted.To the greatest extent permitted by law, you and we each agree to limit claims for damages or other monetary relief against each other and our network provider to direct and actual damages, regardless of the theory of liability. This means that neither of us will seek any indirect, special, consequential, treble, or punitive damages from the other arising out of our service (including the provision of or failure to provide the same), any device, or otherwise in connection with this service agreement or the subject matter herein, regardless of the form of action and whether or not we have been informed of, or otherwise might have anticipated, the possibility of such damages. These disallowed damages include, but are not limited to, damages arising from unauthorized access or changes to your account, service, or device, or the use of your account, service, or device by you or others to authenticate, access, use, or make changes to third-party accounts, including but not limited to, financial, cryptocurrency, or social media accounts. This limitation and waiver also apply to any claims you may bring against any other party to the extent that we would be required to indemnify that party for such claim.In any event, to the greatest extent permitted by law, our liability for damages or other monetary relief for any claims you may have against us is strictly limited to no more than the amounts actually paid by you to us for the service from which the damages or other liability arose in the three (3) months immediately preceding the event giving rise to the claim. Additionally, all claims must be brought within two (2) years from the date the claim arises.
Indemnification
You agree to defend, indemnify, and hold XPIN Network harmless from and against any and all losses, claims, liabilities, costs, and expenses (including taxes, fees, fines, penalties, interest, investigation costs, and attorneys' fees and disbursements) arising out of or relating to the use of the services, breach of the service agreement, or violation of any laws or regulations, or the rights of any third party by you or any person on your account.
Severability and Waiver
The waiver of any part of the service agreement in one instance does not constitute a waiver of any other part or any other instance and must be expressly provided in writing. If we do not enforce our rights under any provisions of the service agreement, we may still require strict compliance in the future. If any part of these terms is held invalid, that part may be severed from the terms.
Assignment
You may not assign these terms or any of your rights or obligations under them without our written consent. We may assign all or part of these terms or your debts to us without notice.
Force Majeure
XPIN Network shall not be liable for any failure or malfunction of performance or equipment due to causes beyond its control, including but not limited to: acts of God; fire; flood; or other catastrophes; loss of electric power; any law, order, regulation, direction, action, or request of any government, including state and local governments having or claiming jurisdiction over XPIN Network, or any department, agency, commission, bureau, corporation, or other instrumentality of these federal, state, or local governments, or any civil or military authority; national emergencies; insurrection; riots; wars; or strikes, lockouts, work stoppages, or other labor difficulties.
Choice of Law
XPIN Network and you agree that these terms are governed by the laws of the location where XPIN Network operates (referred to as the "local jurisdiction"). In all cases, if any provision of the service agreement is invalid under the laws of any of the above jurisdictions, that provision will not apply in that jurisdiction; the remainder of the service agreement shall remain in force.
Dispute Resolution and Arbitration
(1) Informal Dispute Resolution: You agree that, before submitting any dispute or claim to arbitration, both you and we will make a good faith effort to resolve it informally. This includes at least one telephone conversation between you personally and us. You will provide as much detail as possible regarding the nature of the dispute, the basis for your claims, and the resolution you are seeking, including any monetary amount, to allow us to fully understand the dispute. Within 60 days of receiving this notice, you agree to engage in good faith efforts to resolve the dispute, including participating in a telephone call with us. You may have an attorney present during the call if you wish. If the dispute is not resolved within that 60-day period (which may be extended by mutual agreement), either party may initiate arbitration to resolve the dispute as outlined below. Compliance with and completion of this informal dispute resolution process is a condition precedent to filing arbitration. You and we agree to toll the statute of limitations and any filing fee deadlines while engaging in this informal dispute resolution process. A court of competent jurisdiction shall have the authority to enforce this condition precedent to arbitration, including the power to enjoin the filing or prosecution of a demand for arbitration.(2) Arbitration Agreement and Waiver of Certain Rights: If we cannot resolve the dispute through the mandatory informal dispute resolution process, you and we agree that any controversies, claims, counterclaims, or other disputes between you and us, or your third-party agents (each a "Claim"), will be resolved through binding and final arbitration, rather than through court proceedings, in accordance with the Consumer Arbitration Rules of the American Arbitration Association ("AAA Rules"). This arbitration agreement applies to any existing or future Claims that you have not individually filed in court before agreeing to these Terms. The arbitrator’s decision will be final and binding upon both parties and enforceable in any court of competent jurisdiction. You and we agree to keep the arbitration proceedings confidential. The existence of the proceeding and any element of it (including, but not limited to, any pleadings, briefs, or other documents submitted or exchanged, and any testimony or other oral presentations and awards) will not be disclosed outside of the arbitration proceedings, except as may be legally required in judicial proceedings related to the arbitration, by applicable disclosure rules and regulations of securities regulatory authorities or other governmental agencies, or as specifically permitted by state law. The arbitrator, not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, validity, applicability, enforceability, or formation of this Service Agreement, including any claim that all or any part of this Service Agreement is void or voidable.(3) Initiation and Offers of Compromise in Arbitration: To initiate the arbitration process, you must send us a signed letter requesting arbitration and describing your claim at least five (5) days before initiating an arbitration proceeding against us. Any party to the arbitration may serve an offer of compromise in writing upon any other party to the action at any time more than ten (10) days before arbitration. Offers of compromise made pursuant to these Terms will be adjudicated and interpreted in accordance with local law.(4) Waiver of Class Action: You and we each agree not to bring or participate in any class action, class arbitration, or other representative action as a plaintiff or class member. You may not bring a claim against us on a collective, consolidated, or representative basis. The arbitrator is only empowered to resolve individual claims and may not consolidate or join the claims of others without the prior written consent of all parties involved. The arbitrator may award the same damages or other relief that a court could award in an individual action, including injunctive or declaratory relief, as if the matter were proceeding in court.(5) Validity of Terms: If any provision of this section is deemed invalid or unenforceable, that specific provision will be ineffective and severed from the remaining terms, which will continue to be valid and enforceable to the fullest extent permitted by law. Any waiver of any provision of this section will be effective only if it is in writing and signed by the party waiving the right or requirement. Such a waiver will not affect any other provision of these terms. This section will survive the termination of your relationship with us.
Entire Agreement
These Terms, along with any references to XPIN Network's policies or supplemental terms referenced herein (including the Privacy Policy and Acceptable Use Policy), constitute the entire service agreement between you and XPIN Network. Any commitments, statements, or warranties made by a third-party partner or representative of XPIN Network regarding the services are not binding on XPIN Network unless expressly included in this agreement. Any determinations made by us in accordance with this service agreement shall be at our sole discretion. The following sections of this service agreement will continue in effect after the termination of our service agreement with you: Billing Cycles, Payments, Taxes, Fees & Surcharges, Cancellation and Refund Policy, Discovery Mapping, Supported Digital Assets, Service Availability and Coverage, Disruption of Service, Porting, Promotions, Our Right to Make Changes, Unauthorized Charges, Our Rights to Limit or End Service or the Service Agreement, Intellectual Property, Privacy and Security, Disclaimer of Warranties, Waivers and Limitations of Liability, Indemnification, Severability and Waiver, Force Majeure, Choice of Law, Dispute Resolution & Arbitration, and Entire Agreement.
Referral Program Terms
XPIN Network may offer referral rewards from time to time. The Referral Program is governed by these Terms and any additional terms specific to the program. In the event of a conflict between these Terms and any Referral Program Terms, the Referral Program Terms will prevail. By participating in the Referral Program, you agree to abide by all applicable terms.Referral rewards are granted at the sole discretion of XPIN Network. We reserve the right to modify the terms of the Referral Program at any time without notice.Participation in the Referral Program is entirely voluntary. XPIN Network may provide you (the "Referrer") with the opportunity to send invitations to your friends and/or family members to become XPIN Network subscribers. If a friend accepts your invitation, their subscription may be discounted by the amount specified in the applicable program terms. You will be eligible for rewards, as specified in the Referral Program Terms ("Referral Rewards"), based on your total number of referrals. XPIN Network reserves the right to revoke any Referral Rewards you may have earned and/or suspend your participation in the Referral Program if we determine, at our sole discretion, that you are engaging in abuse or misuse of the Referral Program. This includes, but is not limited to, violations of applicable terms and conditions, illegal or fraudulent activity, conduct detrimental to XPIN Network's interests, or attempted fraudulent activity.
